Gary J. Bergenske, Bahia, and Imperial Divan 50 pgs. 58-59 Gary J. Bergenske, Imperial Chief Rabban, Past Potentate and Representative at Large and Emeritus Representative of Bahia Shriners, Orlando, Florida, and the other members of the Imperial Divan, all of whom are Members of the Colorado Corporation, propose the following:
    RESOLUTION
    WHEREAS, at the 2012 Imperial Session in Charlotte, North Carolina, a resolution was made and passed directing the Board of Directors of Shriners Hospitals for  Children to form an independent and unbiased committee to investigate and report on activities conducted for the presumed benefit of Shriners Hospitals for Children that have incurred or that may incur an appreciable loss; and
    WHEREAS, at the 2014 Imperial Session in Minneapolis, Minnesota, at the 2015 Imperial Session in Houston, Texas, and at the 2016 Imperial Session in Tampa, Florida, resolutions were made and passed extending the committee initially established at the 2012 Imperial Session; and
    WHEREAS, it appears that it would be in the best interest of Shriners Hospitals for Children that the committee, generally referred to as the “Oversight Committee,” be continued;
    NOW, THEREFORE, BE IT RESOLVED, that the Chairman of the Board of Directors of Shriners Hospitals for Children for 2017-2018 shall appoint a chairman and four additional members to the “Oversight Committee”, none of whom shall be members or officers of the Board of Directors or Board of Trustees of Shriners Hospitals for Children, with the purpose of being an independent and unbiased committee to investigate and to report, on Monday morning of each Imperial Session, on activities conducted for the presumed benefit of Shriners Hospitals for Children that have incurred or that may incur an appreciable loss.
    Effect of amendment if passed: The “Oversight Committee” will continue with the Chairman of the Board of Directors of Shriners Hospitals for Children appointing the chairman and four additional members of the committee for the succeeding year.
