Gary J. Bergenske, Bahia 49 pg. 58 Gary J. Bergenske, Imperial Chief Rabban and Representative at Large and Emeritus Representative of Bahia Shriners, Orlando, Florida, and Member of the Colorado Corporation, proposes the following:
    Amend § 505.8(a) of Article 8 of the bylaws of the Colorado Corporation by adding and deleting certain language so that such sub-section, as amended, will read as follows, with the new language italicized:
    ARTICLE 8
    Board of Trustees
    § 508.8    Trustee Emeritus
    (a) A member shall not be eligible for election who has passed his 72nd birthday. A Noble shall not be eligible for appointment to fill a vacancy in the Board of Trustees, resulting from death, resignation, or otherwise, who has passed his 72nd birthday. The age limitation of this section shall not apply to those officers elected pursuant to §508.2(a).
         A Trustee who is retired by reason of his age, or who after having passed his 72nd birthday voluntarily retires, shall be elevated to the position of trustee emeritus if he has served as an elected trustee for not less than nine years.
         A Chairman of the board of trustees shall be elevated to the position of Chairman Emeritus when his term as Chairman expires regardless of the number of years he served as a Chairman of the Board of Trustees. A Trustee Emeritus and a Chairman Emeritus receive[s] all notices of meetings and may participate in discussions but [he] may not vote.
    (b) No change.
    Effect of amendment if passed: The minimum of 9 years necessary to become a Trustee Emeritus could be combination of elected and appointed years. In additional, a Chairman of the Board of Trustees would become a Chairman Emeritus when his term expires regardless of the number of years he served as a Chairman of the Board of Trustees.
