			Amend §206.5(a) of Article 6 of the bylaws of the Iowa Corporation by adding certain language so that such section, as amended, will read as follows, with the new language italicized:
			ARTICLE 6
			Officers
			§ 206.5 Duties. Imperial officers have the following duties and privileges:
			(a)   Imperial Potentate.
			(1)   through (14) No change.
			(15) Shall provide an annual performance assessment of the Executive Vice President/Chief Operating Officer of Shriners International, and with majority approval of the Board of Directors, shall have the discretion to remove the Executive Vice President/Chief Operating Officer of Shriners International from his position or terminate his employment in accordance with state and federal laws.
			(b)  through (g) No change.
			Effect of amendment if passed: The duties of the Imperial Potentate would include an annual review of the Executive Vice President/Chief Operating Officer of Shriners International. The Imperial Potentate would also have the authority, with the approval of the majority of the Board of Directors, to remove the Executive Vice President/Chief Operating Officer of Shriners International from his position or terminate his employment in accordance with state and federal laws.
